The articles that follow form the Subscriber Agreement of the Women Leaders Association. They govern the relationship between the Association and each person who holds a subscription to the materials made available through this website.
Article I. Nature and Scope of this Instrument
1.1 This Subscriber Agreement (the "Agreement") is a contract with binding legal force. It establishes the conditions on which a subscriber may make use of any material that is streamed from, or downloaded through, this website.
1.2 The subscriber is advised to retain a copy of this Agreement among his or her own records.
1.3 Assent to this Agreement will have been requested from the subscriber at one of two points: before first gaining access to any Content in the capacity of a subscriber, or by way of a follow-up confirmation e-mail. Assent is requested again whenever the subscription is renewed. Furthermore, every occasion on which the subscriber accesses Content constitutes a fresh confirmation of these terms. For that reason the subscriber should consult Article XII, which records any revisions, to learn whether this Agreement has been amended since his or her previous visit.
1.4 Any person who does not accept this Agreement, or who lacks authority to accept it on behalf of the business or employer for which he or she acts, must refrain from accessing or using the Content.
Article II. Parties and Interpretation
2.1 "Content" denotes every seminar, conference, webinar, eBook, eDocument and any other item of material made available through this website. All Content is published by Women Leaders Association (the "Association"). Throughout this Agreement, the words "we", "us" and "our" signify the Women Leaders Association.
2.2 "ID" denotes the username, the password and any other credentials by which a subscriber gains entry to the website.
2.3 Where a subscription is procured so that the subscriber may use it at a company or other organization that employs or otherwise engages him or her, the subscriber accepts this Agreement both personally and on that organization's behalf. The subscriber and the organization shall each be answerable for ensuring that the Content is used in conformity with this Agreement. Each individual user within an organization requires a subscription of his or her own.
Article III. Ownership and Licence
3.1 Every intellectual property right in the Content and in this website, copyright and database rights included, belongs to the Association or to those who license material to it. The subscriber acknowledges that the name "Women Leaders Association" is a trade mark of the Association and shall not be used without the Association's prior written consent.
3.2 Subject to this Agreement, the subscriber is granted a non-exclusive permission, exercisable solely for his or her own legitimate personal or business purposes, to:
- (a) call up and view Content on any device compatible with it; and
- (b) in the case of Content offered for download, save one single copy onto a storage device that is personal to the subscriber, a USB drive being an example, provided that no copy is placed on any shared drive, shared server or other storage device attached to a network.
Article IV. Restrictions on Use
4.1 The subscriber shall not do, nor authorise or allow any third party to do, any of the following:
- (a) save to the extent Article III expressly allows, copy, reproduce, broadcast, transmit, modify, abstract, create derivative works from, store, archive, aggregate, publicly display, redistribute, share, forward, license, sub-license, publish or sell any Content, or exploit it commercially in any manner whatsoever;
- (b) disclose his or her ID to any individual or other third party;
- (c) render the ID usable by more than one user, whether over a network, inside an organization or otherwise;
- (d) delete or obscure any copyright notice or trade mark notice appearing in the Content;
- (e) frame, harvest or scrape the Content, or engage in any comparable activity; or
- (f) employ the Content for any purpose that is unlawful.
4.2 The subscriber bears responsibility for every use of the Content made under his or her ID, whether by the subscriber or by any other person, and for taking steps to prevent unauthorised use of that ID.
4.3 The Association reserves the right to monitor the subscriber's use of any Service. Should the subscriber use the Content in contravention of this Article, the Association may cancel the subscription or suspend access to the Content.
4.4 EACH RIGHT THAT WOMEN LEADERS ASSOCIATION RESERVES UNDER THIS SUBSCRIBER AGREEMENT IS HELD WITHOUT PREJUDICE TO ANY OTHER RIGHT IT ENJOYS AT LAW, INCLUDING UNDER APPLICABLE COPYRIGHT LEGISLATION.
Article V. Registration and Account Security
5.1 A prospective subscriber must furnish registration details about himself or herself that are accurate and complete. Keeping those details current is the subscriber's responsibility, and amendments are to be submitted by writing to Service@WomanLeaders.org.
5.2 Each subscription is limited to a single user.
5.3 A subscriber who wishes to alter his or her ID, or who suspects a security breach, including the disclosure, theft or unauthorised use of the ID or of any payment information, shall inform the Association without delay by e-mail to Service@WomanLeaders.org.
5.4 The Association will endeavour to process each subscription application promptly. It gives no guarantee, however, that Content will be available to the subscriber by any particular time following purchase.
Article VI. Subscription Tiers, Fees and Payment
6.1 The Association may from time to time offer subscriptions at more than one level or of more than one type, with the Content and services available varying according to the level acquired. The applicable distinctions will be made plain at the moment of acquisition. The Association retains the right to alter the Content, the services or any level of subscription at any time.
6.2 Payment terms and subscription durations may differ, and those applicable to a given subscription will be made plain at the time of subscribing.
6.3 On subscribing, the subscriber shall supply payment information that is complete and accurate and shall pay at the rates prevailing on the date of subscription. By submitting card details, the subscriber warrants that he or she is entitled to buy a subscription with that card.
6.4 If payment or payment authorisation is not received in good time, or if any authorisation is later cancelled or declined, the Association may forthwith terminate the subscription or suspend access to the Content.
6.5 All charges are made in US dollars. Applicable taxes may also be payable by the subscriber.
Article VII. Commencement, Renewal, Cancellation and Termination
7.1 Commencement. By placing an order, the subscriber consents to the subscription beginning as soon as the Association accepts that order. Accordingly, once access has been provided, no refund is due if the subscriber has a change of mind.
7.2 Renewal. An annual subscription renews automatically for a further year unless, before the current annual period expires, the subscriber informs the Association that he or she no longer wishes to receive it. The renewal fee is charged to the same card or other payment method used previously.
7.3 Cancellation by the subscriber. Save as provided in clause 7.1, the subscriber has no right to cancel the subscription, in whole or in part, before the current subscription period ends. Notice of intention to cancel may be given at any moment, but it takes effect only upon expiry of the period then running, and no refund is payable except in the limited cases described in this Agreement. Such notice is to be sent to the Customer Services team at Service@WomanLeaders.org.
7.4 Suspension or termination by the Association. The Association may suspend or terminate the subscription, with or without notice and without any further obligation to the subscriber, where the subscriber breaches these terms. It may likewise suspend or terminate where circumstances outside its control prevent it from providing services.
7.5 Pro rata refund. Should the Association terminate the subscription for any reason, and/or permanently cease publishing the Content or providing subscription services, it will, save in exceptional circumstances, credit the subscriber's credit card with a pro rata refund, being any sums paid in advance that relate to the remaining unexpired portion of the subscription.
Article VIII. Disclaimers and Limitation of Liability
8.1 The subscriber is urged to read this Article with particular care, since it defines the extent, if any, to which the Women Leaders Association accepts liability to the subscriber in connection with the Content.
8.2 The website and the Content are supplied "as is" and "as available". The Association bears no liability for matters lying beyond its reasonable control, for the internet, for acts of God or for the acts of third parties. Nor is it responsible for any use of Content that falls outside the scope of this Agreement.
8.3 Where no subscription fee has been paid, the Association accepts no liability whatever in respect of the Content or this website.
8.4 The Association gives no undertaking regarding the availability, quality, security, completeness or accuracy of the website or the Content, nor that either is free of viruses or similar elements. Its sole undertaking is that it will endeavour to develop the Content and operate the website with reasonable skill and care, and will apply reasonable efforts to correct any fault that comes to its attention.
8.5 Content is furnished for general information and use only and is not tailored to the particular needs of any subscriber. It constitutes no advice, recommendation, representation or endorsement of any kind, and no user should rely upon it when taking, or declining to take, any particular business, investment or other decision.
8.6 SO FAR AS APPLICABLE LAW PERMITS, THE ASSOCIATION DISCLAIMS EVERY WARRANTY, REPRESENTATION, CONDITION AND DUTY OF WHATEVER NATURE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF SATISFACTORY QUALITY, OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE.
8.7 THE FINANCIAL LIABILITY OF THE ASSOCIATION TO THE SUBSCRIBER, WHETHER ARISING FROM USE OF THE CONTENT OR OTHERWISE IN CONNECTION WITH THIS AGREEMENT, IS CONFINED TO DIRECT DAMAGES AND SHALL NOT EXCEED AN AMOUNT EQUAL TO THE PRICE PAID BY THE SUBSCRIBER FOR THE SUBSCRIPTION.
8.8 THE LIMITATIONS SET OUT IN THIS ARTICLE VIII OPERATE FOR THE BENEFIT OF WOMEN LEADERS ASSOCIATION, OF ITS AFFILIATES, AND OF EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS.
8.9 No provision of this Agreement excludes or restricts liability for death or personal injury resulting from negligence, for fraud or fraudulent misrepresentation, or for any liability that the law does not permit to be limited or excluded.
Article IX. Governing Law and Resolution of Disputes
9.1 This Agreement is governed by and shall be interpreted under the laws of the State of Georgia, United States of America, disregarding any principles of conflict or choice of law. The parties irrevocably agree that the state and federal courts located in Atlanta, Georgia shall have jurisdiction to enforce an arbitration award and to grant urgent interim relief.
9.2 Any legal action arising from or relating to the subscription, or to the use or purchase of any product or service of the Association, shall proceed by way of binding arbitration in Atlanta, Georgia, administered by the American Arbitration Association under its Commercial Arbitration Rules or, where they apply, its Consumer Arbitration Rules.
9.3 The filing party (the plaintiff) shall bear all arbitration filing and hearing costs, and each party shall be responsible for its own legal fees. Where applicable law or the applicable American Arbitration Association rules do not permit this, arbitration fees and costs are allocated as set by those rules.
Article X. Miscellaneous Provisions
10.1 Assignment. The subscriber may not assign, sub-license or in any other way transfer any right arising under this Agreement. The subscriber agrees that the Association may, without the subscriber's consent, assign any of its rights, or delegate any of its duties or obligations, to a third party in connection with a reorganization, merger, consolidation, sale of assets or similar transaction.
10.2 Severability. If a court of competent jurisdiction holds any provision invalid, the remaining provisions shall be unaffected and shall continue in full force and effect.
10.3 Waiver. A failure by either party to exercise a right or remedy under this Agreement shall not operate as a waiver of it.

10.5 Entire agreement. This Agreement embodies the whole agreement between the Association and the subscriber regarding the Content and supersedes every earlier agreement, communication, representation and arrangement, whether written or oral.
